Terms of Service
These Terms of Service ("Terms") are an agreement between you and Launch Basis LLC, a Minnesota limited liability company ("Launch Basis", "we", "us"), which operates TerritoryIQ at territoryiq.app (the "Service"). By creating an account, checking the box at signup, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so.
Section 15 contains an arbitration agreement and a class-action waiver that affect how disputes are resolved. Please read it.
1. Business use only
The Service is a business intelligence tool for business owners and operators. You may use it only for business purposes, not for personal, family, or household purposes. You must be at least 18 years old.
2. Your account
You are responsible for your login credentials and for all activity under your account. Tell us promptly at support@territoryiq.app if you believe your account has been compromised. We may suspend or close accounts that violate these Terms.
3. Plans, billing, automatic renewal, and cancellation
Free tier. A free account includes one business, one Territory Brief, and three Territory Chat questions in total. We may change the free tier at any time.
Subscription. A TerritoryIQ subscription costs $39.00 per month (plus applicable tax). Your subscription renews automatically every month and your payment method is charged at the start of each billing period until you cancel.
Cancellation. You can cancel online at any time from Manage billing in your account (Stripe customer portal), with no need to contact us. Cancellation takes effect at the end of the current billing period; you keep access until then.
Refunds. We do not provide refunds or credits for partial billing periods, except where required by law.
Price changes. We will give at least 30 days' notice by email before a price change takes effect for an existing subscription. You can cancel before it takes effect.
Payments are processed by Stripe. We do not receive or store your full card number.
4. AI-generated content — important limitations
The Service uses artificial intelligence (currently models provided by Anthropic) to generate territory briefs, chat answers, recommendations, and other analysis ("AI Output"). AI Output can be wrong, incomplete, or out of date, and may misstate facts about competitors, locations, demographics, or markets. Factual statements in AI Output should not be relied upon without independently checking their accuracy. AI Output is general business information, not legal, financial, tax, real-estate, investment, or other professional advice. You are solely responsible for decisions you make using the Service.
5. Data sources
The Service combines public and licensed third-party data — including U.S. Census Bureau data, business listings and places data (HERE, Google), mapping and drive-time data (Mapbox), and web search results — with information you provide. We do not control that data and do not guarantee that it is accurate, complete, or current. Competitor lists, counts, distances, drive times, and demographic estimates are approximations. Automated competitor searches are a starting point: they can miss businesses or include ones that are not real competitors, which is why you can add and remove competitors yourself.
6. Your content and uploaded customer data
Your content. "Your Content" means information you submit: business details, competitor edits, chat messages, notes, and files you upload (such as customer address lists). You keep your rights in Your Content. You grant us a non-exclusive license to host, process, and transmit Your Content as needed to operate, secure, and improve the Service, including sending it to the service providers listed in our Privacy Policy.
Customer lists. If you upload information about your own customers, you represent that you collected it lawfully and have the right to share it with us for this purpose. Uploaded files are processed in memory and are not stored; customer addresses are saved to your account only if you choose "Remember my customer list." Individual customer addresses are not sent to our AI provider.
Healthcare businesses. If your business is set up in a healthcare category, an uploaded patient or customer file is processed only in memory: addresses are sent to our geocoding provider to be located and assigned to U.S. Census block groups, and we keep only block-group-level counts. Individual addresses are never saved, and the option to remember your customer list is not available. You are responsible for making sure your use of the Service complies with HIPAA and any other law that applies to you.
7. Ownership of the Service and of analyses
Launch Basis owns the Service, including its software, design, and the analyses, briefs, maps, scores, and other output the Service generates ("Analyses"). Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to use Analyses for your own internal business purposes, including sharing them with your employees, advisors, and landlords or lenders. You may not resell Analyses or offer them as a commercial data product. Your Content remains yours under Section 6.
8. Acceptable use
You will not: (a) scrape, bulk-export, or systematically extract data from the Service; (b) reverse engineer or attempt to access the Service's source code, models, or non-public systems; (c) use the Service to build a competing product; (d) resell or sublicense access; (e) interfere with security or performance, or probe for vulnerabilities without our written permission; (f) attempt to make the AI features produce content prohibited by our AI provider's usage policy, or use them to harass, defame, or deceive; (g) upload data you have no right to share; or (h) use the Service in violation of law.
9. Third-party services
The Service relies on third-party providers (listed in the Privacy Policy). Their availability is outside our control. Map data and places data are subject to those providers' terms and attribution requirements.
10. Disclaimers
THE SERVICE, AI OUTPUT, AND ANALYSES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LAUNCH BASIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: COMPETITOR LISTS ARE COMPLETE OR CORRECT; DEMOGRAPHIC, PENETRATION, OR DRIVE-TIME FIGURES ARE ACCURATE; ANY LOCATION, CAMPAIGN, OR EXPANSION DECISION WILL SUCCEED; OR THE SERVICE WILL MEET YOUR REQUIREMENTS.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) LAUNCH BASIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) LAUNCH BASIS'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
12. Indemnity
You will defend and indemnify Launch Basis against third-party claims arising from Your Content (including customer data you upload), your use of Analyses, or your violation of these Terms or law.
13. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or to protect the Service or others. Sections 4–7 and 10–16 survive termination. After termination we handle your data as described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms. For material changes we will post the new version with a new version date and ask you to accept it before you continue using the Service. If you do not accept, you may cancel; cancellation and billing management remain available without accepting the new Terms.
15. Governing law, arbitration, and class-action waiver
Governing law. These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules, and by the Federal Arbitration Act for this Section.
Informal resolution first. Before starting arbitration, a party must send the other a written description of the dispute (to us at the address in Section 17 or support@territoryiq.app; to you at your account email) and allow 30 days to resolve it informally.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Dakota County, Minnesota, or by video or written submissions if the parties agree. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek an injunction in court to stop actual or threatened misuse of its intellectual property or the Service.
Class-action waiver. You and Launch Basis may bring claims against each other only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one party or preside over any form of class or representative proceeding. You and Launch Basis each waive the right to a jury trial and to participate in a class action.
Severability of this Section. If the class-action waiver is found unenforceable for a particular claim, that claim will not be arbitrated and will be decided in court as described below; the rest of this Section still applies to every other claim.
Courts. Any claim that is not arbitrated, and any action to enforce an arbitration award, will be brought exclusively in the state or federal courts located in Dakota County, Minnesota, and you consent to their jurisdiction.
16. General
These Terms and the Privacy Policy are the entire agreement on this subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to your account email.
